Terms & Conditions

1. Definitions
- "Service" means the AI training programmes and consulting engagements offered by Syntarion, including the AI Landscape Briefing, Department-Level AI Workshop Series, and Full-Scale AI Adoption Roadmap.
- "User" or "Client" means any individual or organisation that engages Syntarion for its services or accesses its website.
- "We / Us / Our" refers to Syntarion, operating from 8/12 Thonglor Soi 13, Khlong Tan Nuea, Watthana, Bangkok 10110, Thailand.
- "Agreement" means the acceptance of these terms, together with any written scope or proposal document agreed between Syntarion and the Client.
- "Content" means all materials produced or shared during Syntarion programmes, including presentations, summary documents, and recommendation reports.
2. Acceptance of Terms
By engaging Syntarion's services, submitting an enquiry through our website, or signing a scope of work document, you agree to these Terms & Conditions. You confirm that you are at least 18 years of age and have the authority to enter into this agreement on behalf of your organisation where applicable. If you do not agree to these terms, do not engage our services.
3. Service Description
Syntarion provides AI integration training and consulting services for businesses in Thailand. Services are available to organisations operating within and outside Thailand, subject to scheduling and logistics. Syntarion reserves the right to decline an engagement where there is a conflict of interest or where the requested scope falls outside our current capabilities.
Service availability is subject to facilitator scheduling and prior commitments. All timelines communicated are estimates unless expressly confirmed as fixed in a written scope document.
4. User Responsibilities
Clients agree to:
- Provide accurate information required for programme planning and delivery
- Make appropriate personnel available for discovery sessions and workshops as agreed
- Not reproduce, distribute, or commercially exploit Syntarion's proprietary programme materials without written consent
- Treat facilitator and staff communications with professional respect
- Not misrepresent their organisational context in a way that would affect the scope or content of programme delivery
5. Intellectual Property
All programme frameworks, presentation materials, structured templates, and methodologies developed by Syntarion remain the intellectual property of Syntarion. Clients are granted a non-exclusive, non-transferable licence to use written deliverables (summary documents, recommendation reports, roadmaps) for internal business purposes only.
Clients may not reproduce Syntarion's materials for training third parties, publish them externally, or resell them without prior written agreement.
6. Payment Terms
Programme fees are as listed on Syntarion's website or as agreed in a written proposal. Payment is due within 14 days of invoice. For engagements spanning multiple weeks, Syntarion may require a deposit of up to 50% prior to commencement. All fees are quoted in Thai Baht (฿) and are subject to applicable Thai VAT where relevant.
Cancellations with more than 7 business days' notice will receive a full refund of any deposit paid. Cancellations with fewer than 7 business days' notice may forfeit the deposit, at Syntarion's discretion.
7. Service Delivery Terms
Syntarion will make reasonable efforts to deliver programmes on the agreed schedule. Where a programme must be rescheduled due to circumstances within Syntarion's control, we will provide at least 5 business days' notice and offer an alternative date at no additional cost. Force majeure events or circumstances outside Syntarion's control are excluded from this commitment.
Syntarion reserves the right to adjust programme content in response to new developments in the AI landscape or to better serve the client's context, provided such adjustments do not materially reduce the scope agreed.
8. Disclaimers
Syntarion's programmes are educational and advisory in nature. While we aim to provide accurate, current, and practically useful content, we make no representations about the outcome of AI adoption decisions made following our programmes. AI technology and its business applications change rapidly; information provided during sessions reflects the state of knowledge at the time of delivery.
Syntarion is not a legal, financial, or technical implementation service. Clients remain responsible for their own decisions regarding AI adoption, vendor selection, and data governance.
9. Limitation of Liability
To the maximum extent permitted under Thai law, Syntarion's total liability to a client for any claim arising from a programme engagement will not exceed the total fees paid by that client for the specific programme giving rise to the claim.
Syntarion is not liable for indirect, consequential, or speculative losses, including lost profits, business interruption, or decisions made on the basis of programme content.
10. Confidentiality
Each party agrees to keep confidential any non-public information received from the other party in the course of an engagement. This obligation survives termination of the agreement for a period of 3 years. Syntarion will not use client information disclosed during discovery or delivery for any purpose other than programme delivery.
11. Termination
Either party may terminate an ongoing engagement with 10 business days' written notice. In the event of termination, fees for work completed up to the termination date will remain payable. For multi-session programmes, fees will be prorated based on sessions delivered.
Syntarion may terminate an engagement immediately in the event of material misrepresentation, non-payment, or conduct that makes continued delivery unreasonable.
12. Dispute Resolution and Governing Law
These terms are governed by the laws of the Kingdom of Thailand. In the event of a dispute, the parties agree to first attempt resolution through good-faith discussion within 30 days of one party notifying the other in writing.
If the dispute is not resolved through discussion, it will be submitted to the jurisdiction of the courts of Bangkok, Thailand.
13. General Provisions
If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force. No waiver of any provision constitutes a waiver of any other. These terms, together with any agreed scope document, constitute the entire agreement between Syntarion and the client for the relevant engagement.
Syntarion may update these terms. Changes will be communicated via our website and take effect 14 days after posting. Continued engagement with our services constitutes acceptance.
